Terms of Service

1. Acceptance
By using VendorShield ("Service"), you agree to these Terms. VendorShield is operated by Crawde, LLC. If you do not agree, do not use the Service.
2. Service Description
VendorShield provides AI-powered vendor risk management, including Certificate of Insurance (COI) analysis, compliance tracking, risk scoring, and automated vendor communications for construction and general contracting businesses.
3. Accounts
You are responsible for maintaining the security of your account credentials. Each organization account is associated with one owner. You may invite vendors to self-serve their own COI uploads. You must provide accurate information during registration.
4. Subscriptions & Billing
Paid plans are billed monthly via Stripe. You may cancel at any time; access continues until the end of the billing period. Refunds are available within 14 days of initial purchase if no substantial usage has occurred. Free trials provide full access for 14 days. A credit card is required at checkout.
5. AI Analysis Disclaimer
VendorShield uses AI to analyze COI documents and assess vendor risk. AI analysis is provided as a tool to assist your decision-making and does not constitute legal, insurance, or professional compliance advice. You should verify critical compliance decisions independently. We do not guarantee the accuracy of AI-generated risk scores or coverage extraction.
6. Your Data
You retain ownership of all data you upload, including COI documents and vendor information. We process this data solely to provide the Service. You grant us a limited license to process your uploaded documents for AI analysis. You may export or delete your data at any time.
7. Acceptable Use
You may not: use the Service to upload fraudulent documents; attempt to reverse-engineer our AI models; share account access with unauthorized users; or use the Service in violation of applicable laws.
8. Limitation of Liability
To the maximum extent permitted by law, Crawde, LLC shall not be liable for any indirect, incidental, or consequential damages arising from use of the Service. Our total liability is limited to the amount you paid in the 12 months preceding the claim.
9. Termination
We may terminate accounts that violate these Terms. You may close your account at any time. Upon termination, your data will be deleted per our Privacy Policy.
10. Changes
We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance.
